Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the OpenLenz mobile application ("App") and website at openlenz.app ("Site"), operated by YASSIRTRAINER USA INC ("Company", "we", "our", or "us").

By downloading, installing, or using OpenLenz, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the App.

The App & License

OpenLenz is a multi-format camera application for iOS that allows you to capture video simultaneously in multiple aspect ratios and resolutions. Subject to your compliance with these Terms, YASSIRTRAINER USA INC grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App on any Apple device that you own or control, solely for your personal, non-commercial purposes.

This license does not include the right to:

• Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the App
• Modify, translate, adapt, or create derivative works based on the App
• Reverse engineer, decompile, disassemble, or attempt to derive the source code
• Remove or alter any proprietary notices, labels, or marks on the App
• Use the App in any manner that could damage, disable, or impair the App

The App is licensed, not sold. YASSIRTRAINER USA INC retains all ownership of the App and its underlying technology. This license is granted for the duration of an active subscription and ends when that subscription ends, as described in Section 04.

Permitted Use

You may use OpenLenz to record video content for personal and professional creative purposes, including content intended for publication on social media or other digital platforms. You are solely responsible for any content you create using the App.

You agree not to use the App to:

• Record, create, or distribute content that is unlawful, harmful, defamatory, obscene, or that infringes the rights of others
• Violate the privacy or publicity rights of any individual recorded without their consent
• Circumvent or attempt to circumvent any technological measures protecting the App
• Engage in any activity that violates applicable local, national, or international laws or regulations
• Use the App in a manner inconsistent with Apple's App Store Review Guidelines or Apple's terms and conditions

We reserve the right to terminate or suspend your access to the App at any time if we determine, in our sole discretion, that you have violated these Terms.

Subscriptions and Billing

The OpenLenz app is free to download from the Apple App Store. Full functionality is unlocked by OpenLenz Pro, an auto-renewing subscription sold as an in-app purchase. It is not a one-time purchase and it does not grant a permanent or lifetime license. Your access to Pro features continues only for as long as your subscription remains active.

During the current launch window, the first year is offered at a promotional price of $9.99 USD (or regional equivalent) instead of the standard $19.99 USD per year. Unless you cancel, the subscription renews automatically at the then-current standard price.

We may change subscription prices. Where a change affects an existing subscription, Apple will notify you in advance and, where required, ask you to consent before the new price takes effect. If you do not agree, you may cancel before the next renewal.

If your subscription lapses or is cancelled, features requiring an active subscription will stop working. Videos you have already recorded remain in your device's camera roll and are unaffected.

If a free tier or trial version is offered, its functionality may differ from the full version. We reserve the right to modify, limit, or discontinue any free tier at any time.

Intellectual Property

The App, including but not limited to its design, interface, source code, algorithms, features, graphics, icons, and all associated documentation, is the exclusive property of YASSIRTRAINER USA INC and is protected by United States and international intellectual property laws, including copyright, trademark, and patent law.

The "OpenLenz" name, logo, and all related product names, design marks, and slogans are trademarks of YASSIRTRAINER USA INC. You may not use any of these marks without prior written permission from YASSIRTRAINER USA INC.

Nothing in these Terms grants you any right, title, or interest in the App or the intellectual property contained within it, except for the limited license expressly set out in Section 02.

Your Content

All video recordings and media files you create using OpenLenz are saved directly to your device's Camera Roll and remain entirely your property. YASSIRTRAINER USA INC does not have access to, claim ownership over, or receive any license to the content you capture with the App.

You are solely responsible for ensuring that your use of OpenLenz and the content you create complies with all applicable laws, including those relating to:

• Consent laws for recording individuals in your jurisdiction
• Copyright and intellectual property laws governing any third-party material that may appear in your recordings
• Platform-specific terms of service where you choose to publish your content

YASSIRTRAINER USA INC accepts no liability for any content you create, share, or publish using the App.

Privacy

Your use of OpenLenz is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our practices.

In summary, OpenLenz is designed to operate entirely on your device. We do not collect, store, or transmit your video recordings or personally identifying information. The app requires no account to use.

By using the App, you consent to the data practices described in the Privacy Policy.

Disclaimers

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YASSIRTRAINER USA INC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the App will be uninterrupted, error-free, or free of viruses or other harmful components
• Warranties regarding the accuracy, reliability, or completeness of any content within the App
• Warranties that defects will be corrected within any specific timeframe

Some jurisdictions do not allow the exclusion of certain warranties. In such cases, the above exclusions may not apply to you, and you may have additional rights.

The App is designed for use on compatible iOS devices. We make no warranty that the App will be compatible with every device, operating system version, or iOS configuration.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YASSIRTRAINER USA INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business interruption
• Damages arising from your inability to access or use the App
• Damages arising from any content created, shared, or published using the App
• Damages arising from unauthorized access to or alteration of your data

Even if YASSIRTRAINER USA INC has been advised of the possibility of such damages and even if a remedy set forth herein is found to have failed of its essential purpose.

In jurisdictions where limitation of liability for consequential or incidental damages is not permitted, our liability is limited to the greatest extent permitted by law. In all cases, our total cumulative liability shall not exceed the amount you paid to YASSIRTRAINER USA INC for the App in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless YASSIRTRAINER USA INC and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the App in a manner not authorized by these Terms
• Any content you create, share, or publish using the App
• Your violation of any applicable law or the rights of any third party

Changes to Terms

YASSIRTRAINER USA INC reserves the right to modify these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will provide additional notice through the App or on our Site.

Your continued use of OpenLenz after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the App.

We encourage you to review these Terms periodically to stay informed of any updates.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the App shall be subject to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

These Terms constitute the entire agreement between you and YASSIRTRAINER USA INC regarding your use of the App and supersede all prior agreements, understandings, and representations relating to the App.
